竣工结算申请 Application of Final Settlement

除专用合同条款另有约定外，承包人应在工程竣工验收合格后28天内向发包人和监理人提交竣工结算申请单，并提交完整的结算资料，有关竣工结算申请单的资料清单和份数等要求由合同当事人在专用合同条款中约定。

Except otherwise stipulated in particular condition, contract should, within 28 days subsequent to the final acceptance, submit the application form of final settlement being accompanied by the settlement data, and the requirements of list and copies of materials respect to the application form of final settlement and other will be stipulated by parties hereto in particular conditions.



除专用合同条款另有约定外，竣工结算申请单应包括以下内容：

Except otherwise stipulated in particular condition, the application form of final settlement shall include, inter alia, the following items:



（1）竣工结算合同价格；

Contract price of final settlement;



（2）发包人已支付承包人的款项；

The amount which have been paid to the contractor by the employer;



（3）应扣留的质量保证金。已缴纳履约保证金的或提供其他工程质量担保方式的除外；

Quality deposit withheld. Except where a performance bond has been paid or other forms of guarantee for the quality of the project have been provided;



（4）发包人应支付承包人的合同价款。

The amount which should be paid to the contractor by the employer.



竣工结算审核

Review and Approval of Final Settlement

（1）除专用合同条款另有约定外，监理人应在收到竣工结算申请单后14天内完成核查并报送发包人。发包人应在收到监理人提交的经审核的竣工结算申请单后14天内完成审批，并由监理人向承包人签发经发包人签认的竣工付款证书。监理人或发包人对竣工结算申请单有异议的，有权要求承包人进行修正和提供补充资料，承包人应提交修正后的竣工结算申请单。

Unless otherwise stipulated in particular condition, the supervisor shall, within 14 days upon receipt of the application form of final settlement, complete review and submit to the employer. The employer shall, within 14 days upon receipt of the application from of final settlement submitted by the supervisor, complete examination and approval before the certificate of payment for completion of work through the supervisor to the contractor. Where the supervisor or the employer disagrees with the application of final settlement, reserve right to request the contractor to effect amendment thereof and provide additional information, and the contractor shall submit the revised application of final settlement.



发包人在收到承包人提交竣工结算申请书后28天内未完成审批且未提出异议的，视为发包人认可承包人提交的竣工结算申请单，并自发包人收到承包人提交的竣工结算申请单后第29天起视为已签发竣工付款证书。

Provided that if the employer, within 28 days upon receipt of the application of final settlement submitted by the contractor, without objection, will be deemed to have signed and approved the certificate of payment for completion from 29th days upon of the employer’s receipt of the application of final settlement submitted by the contractor.

竣工结算资料的格式、内容和份数：

Format, content and number of completed settlement information:



承包商在提交最终报表时,应提交一份结清证明,确认最终报表上的总额代表了根据合同或与合同有关的事项,应付给承包商的所有款项的全部核最终的结算总额.该结清证明可注明在承包商收到退回的履约担保核该总额中尚未付清的余额后生效,在此情况下,结清证明应在改日期生效。

When submitting the Final Statement, the Contractor shall submit a written discharge which confirms that the total of the Final Statement represents full and final settlement of all moneys due to the Contractor under or in connection with the Contract. This discharge may state that it becomes effective when the Contractor has received the Performance Security and the out-standing balance of this total, in which event the discharge shall be effective on such date.



工程竣工验收报告经甲方认可后7天内，乙方向甲方递交竣工结算报告及完整的结算资料，双方按照协议书约定的合同价款及合同条款约定的合同价款调整内容，进行工程竣工结算。

Within 7 days upon the Party A’s approval on the completion inspection report, Party B shall deliver a completion settlement report and complete settlement materials to Party A and both parties shall settle the payment based on the agreed contract value and as per the adjustment conditions stipulated in the contract.



甲方收到乙方递交的竣工结算报告及结算资料后7天内进行核实，给予确认或者提出修改意见。甲方确认竣工结算报告通知经办银行向乙方支付工程竣工结算价款。乙方收到竣工结算价款后7天内将竣工工程交付甲方。

Party A shall verify the completion settlement report and complete settlement materials delivered by Party B within 7 days upon the receipt of them, confirm or raise any modification requirement. After Party A’s approval, Party A shall notify its bank to pay the settlement payment to Party B. Party B shall deliver the completed project to Party A within 7 days upon receiving the settlement payment.



甲方收到竣工结算报告及结算资料后21天内不支付工程竣工结算价款，乙方可以催告甲方支付结算价款。甲方在收到竣工结算报告及结算资料后7天内仍不支付的，甲方应按乙方应收款金额的本息支付（利息按3%计）。

In case Party A fails to make settlement payment within 21 days upon the receipt of the completion settlement report and complete settlement materials, Party B may urge Party A to make the payment. In case Party A still does not pay within 7 days upon the urge, Party A shall pay the interest for the receivable payment at an interest rate of 3%.



组织工程验收，并按合同规定配合乙方办好结算工作，及时结清工程尾款。

Tissue engineering inspection, in accordance with the contract with B to clear the work well and provide engineering costs.



提供竣工验收资料、办理竣工结算、参加竣工验收。

Provide information on completion of acceptance , close completion clearing and participate the completion of acceptance.



土建工程全部结束，承包人向发包人提交完整竣工资料和工程结算书。发包人和承包人共同对工程结算书审核无误后7日内，发包人支付工程款至最终结算价的95%；剩余5%合同款项作为质量保证金，待质量保证期满且发包人完成所有保修责任后30日内一次性无息付清（质量保证期为项目取得最终验收证书后3个月）。

Payment for Completion: Contractor will, on and after completion of all earth works, submit full set of completion documents and project settlement to employer. Within seven days after joint examination by contractor and employer to Project Settlement employer will effect payment of 95% sum of final settlement. Remaining 5% of contract cost for maintenance guarantee, which will be released, without interests, within 30 days on expiry of guarantee period and completion of all maintenance responsibilities by contractor ( period of maintenance is three months after issuing of Final Acceptance Authorization ).



该项目共分三期进行开发，若项目未按照本协议第5条【项目开发计划和用款计划】完全开发该项目，已完成部分工程的结算则按照410美元/建筑平米乘以甲乙双方签字确认的已完成工程建筑面积进行结算；若项目如期按照本协议第5条【项目开发计划和用款计划】开发完毕，则按照原定工程固定合同额6700万美元（不含税）进行结算，变更增项减项等另计，具体细节在后续签订的《工程总承包合同》中进行规定；

The whole project will be developed in three phases. Provided that if the project to be completed on scheduled as required by the Article 5 “Project Development Plan & Payment Schedule” in this agreement, the settlement shall be settled as per the fixed project contract amount, i.e. 67 million US dollars (exclusive of taxation); the cost of any project changes such as increment or decrease of items shall be settled separately, and its specific details will be prescribed in the “Project General Contracting Contract” to be concluded subsequently; however, if project can’t be completed as scheduled, then settlement for the completed works in this project shall be proceeded as per 410 US dollars/m2(building) multiply by the completed building area which has been confirmed and signed by both parties;



乙方负责提供工程所需的钢筋和混凝土，该部分材料的结算价按附件A中的材料价进行结算，实际结算数量双方在施工过程中共同签字确认。乙方承担材料5%以内的涨跌风险（以缅甸官方网站公布价格为基准），材料费上下浮动超过5%的部分由项目公司承担增加成本或由项目公司享受收益。

Party B take charge of supplying rebars and concrete required in the project and the settlement price for these material shall be settled according to material price list attached in the Annex A; and the quantity in the settlement shall be confirmed with signature of both parties; Party B shall assume the risk of rise & fall within the limits of 5% on material price (price subject to the published price on Myanmar official website), whereas the excess portion that exceeding 5% shall be borne by project company as a project cost or serve as a project benefit;
